These terms govern your use of KeyVelo, operated by NYPTID Industries from Conyers, Georgia. They are written to be read, not to hide things. By creating an account or placing an order you agree to them.

01What KeyVelo is

Your edits are produced by an AI editor, supervised by NYPTID Industries. You are not hiring a human freelancer, and we say so plainly rather than in a footnote.

KeyVelo is a marketplace where you brief a video editing project, receive a priced quote, pay, and work with the editor through NChat until the cut is approved.

02Accounts and capacity

  • You must be at least 18. That is the age of majority in Georgia (O.C.G.A. § 39-1-1); a contract with a minor is voidable, so we do not open accounts below it.
  • You must be able to enter a binding contract and not barred from doing so under applicable law.
  • Give accurate details and keep your password secure. You are responsible for activity under your account, and should tell us promptly if you suspect unauthorised access.

03Electronic agreement

Creating an account or clicking to accept a quote is an electronic signature and forms a binding contract under the Georgia Uniform Electronic Transactions Act (O.C.G.A. § 10-12-1 et seq.) and the federal E-SIGN Act. You consent to transacting with us electronically and to receiving notices by email and through your dashboard.

04Quotes and pricing

  • Quotes are generated from a published rate card and show every line item. Nothing is hidden.
  • A quote is valid for 14 days. After that, rebuild the brief and the price refreshes.
  • A quote you have accepted is frozen. If we later change our rates, your agreed price does not move.
  • Prices are in USD and exclude any applicable tax. Where Georgia sales or use tax applies to a deliverable, it is added at checkout and remitted by us.

05Payment

  • Payments are processed by Stripe. We never see or store your card details.
  • Work begins once payment clears.
  • Retainers bill monthly and renew until cancelled. Cancel before the next billing date; cancelling does not refund the current period, and you keep everything already delivered.

06What you must supply

We can only cut what you give us. You are responsible for supplying footage and assets on time, and you represent that you own or are licensed to use everything you upload — including music, stock, fonts, and the likeness of any person appearing on camera.

You must not upload anything unlawful or infringing. We may refuse or stop work on any project that breaches this, and we may report clearly illegal material to the appropriate authorities.

07Delivery and revisions

  • Turnaround estimates are shown before you pay and start when we have everything we need from you.
  • 2 revision rounds are included; extra rounds are priced on the quote. Retainers include unlimited rounds within the agreed volume.
  • Revisions mean refining the brief you gave us. A change of direction is new work and will be re-quoted.
  • A deliverable is deemed accepted 14 days after delivery if you have not raised notes.

08Who owns the work

  • You own the finished deliverables outright once paid for — full commercial rights, no royalties, no attribution required.
  • You keep all rights in the footage and assets you supplied.
  • We retain rights in our own tooling, templates and processes. That never restricts your use of your finished video.
  • We will only feature your work in our public portfolio with your agreement for that specific project.
  • Until payment clears, we retain rights in the deliverable.

09Machine learning

The editor improves continuously from work delivered through this platform — briefs, NChat messages, footage and finished cuts. This is how it gets better at the job.

You can opt out at any time, and opting out never affects your price or your place in the queue. The detail is in our Privacy Policy.

10Refunds

  • Before work starts, cancel for a full refund.
  • After work starts but before first delivery, you are refunded minus work completed.
  • After delivery, we would rather fix it than refund it — that is what revisions are for. If we genuinely cannot deliver what was briefed, we refund.
  • No refunds where the brief was met and you simply changed your mind about the direction.

11Acceptable use

Do not use KeyVelo to:

  • Produce unlawful content, or content that harasses or defames.
  • Create material designed to deceive — impersonating a real person, or fabricating events presented as real.
  • Infringe anyone's copyright, trademark or likeness rights.
  • Attack, probe or overload the service, or attempt to access other clients' projects.

We may suspend or terminate accounts that breach this, and will refund undelivered work when we do.

12Warranties and liability

We work to keep KeyVelo available but do not guarantee uninterrupted service. Except as stated here, the service is provided "as is", and to the fullest extent permitted by Georgia law we disclaim implied warranties of merchantability and fitness for a particular purpose.

To the extent permitted by law, our total liability for any claim is limited to the amount you paid for the project the claim relates to, and we are not liable for indirect or consequential loss including lost profits or missed launches.

Nothing in these terms limits liability that cannot lawfully be limited, waives any right you have under the Georgia Fair Business Practices Act (O.C.G.A. § 10-1-390 et seq.), or excuses fraud or wilful misconduct. Under O.C.G.A. § 13-8-2 a contract term contrary to public policy is unenforceable, and we do not ask you to agree to one.

13Resolving a dispute

Talk to us first. Email support@keyvelo.com describing the problem and what you want. Most things are fixable, and we ask for 30 days to try before formal steps.

If that fails, either of us may bring the claim in the state courts of Rockdale County, Georgia, or in the United States District Court for the Northern District of Georgia where federal jurisdiction exists. We each consent to personal jurisdiction and venue there. Small claims in Rockdale County remain available for qualifying amounts.

Where we both agree in writing, a dispute may instead go to binding arbitration in Rockdale County, Georgia under the Georgia Arbitration Code (O.C.G.A. § 9-9-1 et seq.). We do not impose mandatory arbitration and do not ask you to waive a jury trial or class action as a condition of using KeyVelo.

14Governing law

These terms and any dispute arising from them are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. NYPTID Industries operates from Conyers, Georgia, in Rockdale County.

Claims under a written contract are subject to Georgia's six-year limitation period (O.C.G.A. § 9-3-24) unless a shorter period applies by law.

15General

  • If any provision is held unenforceable, the rest stays in force and the provision is narrowed to the minimum extent needed.
  • Our failure to enforce a term is not a waiver of it.
  • You may not assign this agreement without our consent; we may assign it as part of a merger or sale of the business.
  • These terms, plus the Privacy Policy and any accepted quote, are the entire agreement between us.

16Changes and contact

We may update these terms. Material changes will be emailed to account holders before taking effect, and continuing to use the service means you accept them.
